General Terms and Conditions

We, The Work Hub, agree to sell and You agree to purchase membership, goods and services described herein. You agree to pay us for membership, goods and services listed in your Membership Registration. You acknowledge that The Work Hub did not make any representations or promises that are not stated in this Membership Agreement. The Work Hub employees are not authorized to make any changes written and/or verbal, additions, or modifications to this Membership Agreement. This Membership Agreement, as revised from time to time, constitutes the entire and exclusive Agreement between You (the Member) and The Work Hub. 1. DESCRIPTION OF SERVICES The Work Hub may provide You with access to one or more business facilities that may include one or more lounge areas, shared office spaces, workstations, office equipment, meeting and/or conference rooms, Internet access, online account resources, knowledge resources, and other services, as The Work Hub may provide from time to time (collectively, “Services”). 2. USE OF SERVICES 2.1 Terms of Service: To use our services, you will need to use the Nexudus Passport App. To use the Nexudus App, you will have to agree to The Work Hub Terms of Service. 2.2. Wireless Network: To use The Work Hub's wireless network, you will need to agree to our Wireless Network Terms of Service. 2.3 No Unlawful or Prohibited Use: You will not use the Services for any purpose that is illegal or unlawful or prohibited by any part of the Membership Agreement. 2.4 You agree that when participating in or using the Services, you will not: a. Use the Services in connection with any contests, pyramid schemes, chain letters, junk email, spamming, duplicative or unsolicited messages; b. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; c. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through The Work Hub's servers; d. Restrict or inhibit any other user from using and enjoying the Services; e. Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party. 2.5 Intellectual Property of others. You must not directly or indirectly take, copy or use, any information or intellectual property belonging to other members or member companies or any of their guests, including without limitation personal names, likenesses, voices, business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property, or modified or altered versions of the same. 2.6 Use of The Work Hub Name; Photos of the Premises. You may not take, copy or use for any purpose the name "The Work Hub" or any of our other business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of any The Work Hub properties, without our prior consent. 3. TERMS AND CONDITIONS 3.1 Disclosure: The Work Hub reserves the right at all times, to disclose any information about you, your participation in and use of the Services at The Work Hub, deemed necessary to satisfy any applicable law, regulation, legal process or governmental request. 3.2 Notice of Filming and/or Photography. When you enter The Work Hub or any of its events or classes, you enter an area where photography, audio, and video recording may occur. By entering the event premises, you consent to interview(s), photography, audio recording, video recording and its/their release, publication, exhibition, or reproduction to be used for news, web casts, promotional purposes, telecasts, advertising, inclusion on websites, social media, or any other purpose by The Work Hub and its affiliates and representatives. Images, photos and/or videos may be used to promote similar events in the future, highlight the event and exhibit the capabilities of The Work Hub. You release The Work Hub, its officers and employees, and each and all persons involved from any liability connected with the taking, recording, digitizing, or publication and use of interviews, photographs, computer images, video and/or or sound recordings. By entering the event premises, you waive all rights you may have to any claims for payment or royalties in connection with any use, exhibition, streaming, web casting, televising, or other publication of these materials, regardless of the purpose or sponsoring of such use, exhibiting, broadcasting, web casting, or other publication irrespective of whether a fee for admission or sponsorship is charged. You also waive any right to inspect or approve any photo, video, or audio recording taken by The Work Hub or the person or entity designated to do so by The Work Hub. You have been fully informed of your consent, waiver of liability, and release before entering The Work Hub and/or its events and classes. 3.3 Payments: a. All membership (recurring), bookings, sales, and services are conducted by means of Debit, Credit or ACH. b. You agree to maintain a valid bank or credit card account in your online account and authorize The Work Hub to bill your debit or credit card account for any services received. c. You authorize The Work Hub’s third-party billing administrator to electronically and automatically bill your debit or credit card company for payment. d. You authorize The Work Hub to charge the debit or credit card company account on file in lieu of presenting it for any services received, at your request. 3.4 Failure to Pay: Any non-payment will automatically include a Service Charge of $25. Membership will be suspended and member will be liable for all outstanding monies due at that time. 3.5 Right to Modify: The Work Hub reserves the right to adjust any fees at any time at its discretion. Further, The Work Hub has the right to add to any membership dues, any tax imposed by the government. Members will be provided with a (30) day notice of any such increases. 3.6 Failure to Use Facility: You shall not be relieved of the obligation to make payments agreed to and no deduction from any payment shall be made because of your failure to use The Work Hub facilities. 3.7 Contact Information: It is your responsibility to promptly update any changes in contact information in your online member account. 3.8 Lost Key Fob/Key Card: If you lose your key fob/Key card or need a replacement, there is a fee of $5.00 for new key fob/key card. 3.9 Facility Staff: The facility is only open and available for use during posted hours and may not always be staffed. 3.10 Software Security. The Work Hub does not make any warranties or guarantees about security. It is the Members, Guest and Visitor's responsibility to secure their own personal computer or device with intrusion detection/prevention software, firewall, and anti-malware software. 3.11 Exclusion of Incidental, Consequential and Certain Other Damages: The Work Hub will not be responsible for the loss, theft, disappearance, or damage to any personal property, including money, negotiable securities or jewelry belonging to Member, Guests or Visitors. Members, Guests and Visitors are encouraged to leave valuables at home or to keep them on their person at all times. Do not leave valuables in vehicles. Make sure vehicles are locked at all times. 4. CANCELLATION & TERMINATION: 4.1 Cancellation: a. Desk and Office Members must submit in writing a cancellation request at least 30 or more business days and 15 or more business days for all other memberships, before the next scheduled payment and the request is approved. b. If Member does not give proper notice of cancellation of membership, membership will be suspended with a balance owed. Should Member wish to re-activate Membership, payment of balanced owed must be paid, along with new membership fees. 4.2 Late Cancellation: No refund of monthly dues will be paid in the event that a Member cancels after the cancellation deadline. 4.3 Return of Access Devices: Members must return all membership access devices (e.g. keys or key-FOBs). Cancellation will not be completed until keycard/keyfob are returned to The Work Hub. 4.4. Re-Activation Fee: Once the membership is cancelled, a re-activation fee may be required should the former member elect to rejoin The Work Hub. 4.5 Termination: a. The Work Hub reserves the right to cancel this Membership Agreement for any violation by the Member of the provisions set forth within this Agreement, or as communicated in the facility or on its website, or of which Member has been verbally notified. b. The Work Hub reserves the right to refuse service to anyone. We also reserve the right to dismiss any Member, Guest or Visitor from the facility at our discretion. We may terminate a membership for the violation of the rules, regulations, policies, provisions, terms or conditions listed in the Membership agreement and/or in the online member account, the website and/or posted in the facility itself. 5. RULES & POLICIES: 5.1 General: a. Membership includes one (1) person. b. Shared Space membership allows Members access to shared spaces only. Shared Space Members are prohibited from Staff, desks and Private Office spaces. (A map is provided to show accessible and prohibited areas). c. Members are not allowed in Staff only areas. d. Members are not allowed to sleep overnight in the facility (using the facility as a housing unit), even if you have a membership that allows 24 hour access. e. No pets allowed in the space. We reserve the right to restrict any member’s or other individual’s right to bring a pet into the Premises at any time in our sole discretion. f. Cell phones must have audible ringers turned off. g. Members, Guests and Visitors must make every effort to minimize the impact of their cell phone use while in the shared space. h. Members, Guests and Visitors shall follow the rules of The Work Hub while at classes, events or the facility. i. Members, Guests and Visitors shall conduct themselves in a well-mannered fashion so as not to cause any disturbances that would interfere with the productivity and enjoyment of The Work Hub by other Members, Guests and Visitors. j. Members, Guests or Visitors shall not use foul, loud, or slanderous language, or harass, molest, badger, or solicit others. k. Additional Rules may be listed in the Code of Conduct. 5.2 Guest Policies: a. Members must register all Guests and Visitors. This can be done through your online account or by a Staff member. b. Guests and Visitors must be accompanied by a Member throughout their visit (Member Only areas). c. A member can host one or two guests at the same time in the shared spaces for no additional fee. d. The guest’s first two visits with the member per month are free. The guest’s third visit with the member during that month requires a Guest Visitation Pass. The work Hub's guest visitation fee is 50% off the Co-Working Day Pass rate and can be paid by the member or the guest. e. A member can host an unlimited number of different guests per month (but only one or two at the same time. Exception: business meetings). f. If there are more than 2 guests, it is deemed a business meeting and must be held in a booked meeting room. g. Guests must provide valid identification and should allow time for registration at the front desk. h. Guests must comply with all facility rules, policies, procedures, conditions, and provisions. i. The Work Hub reserves the right to exclude any Guest. 5.3 Student Membership Rules & Policies: a. Members must be at minimum 16 years of age. b. Students ages 13-15 are included in a parent/guardian membership. (maximum 1 students per membership) d. Students 13-15 years of age must be accompanied by parent or guardian when utilizing the space (special events designated for youth excluded). e. Members 16-17, when not accompanied by a parent/guardian, are only allowed in the facility during staffed business hours. The Work Hub classes/events are an exception. 5.4 Booking Rules & Policies: a. Members must book the small meeting rooms and any resources. b. If Members need additional time beyond the hours included in their membership, they must book the additional time for the resource and will be billed the appropriate fees for said booking. c. Large Meeting Rooms can only be booked by The Work Hub Staff. If you would like to book Large Meeting Room, please contact The Work Hub Staff. d. Members may not host an event or meeting without booking the proper resources. e. More attendees than the number of allowed guests account for an event or meeting and must be booked. 6. ACCEPTANCE OF AGREEMENT To the extent that any portion of this Agreement is deemed to be invalid under the law of the applicable jurisdiction, the remaining portions of the Agreement shall remain binding and available for use by The Work Hub and its counsel in any proceeding. I HAVE READ AND UNDERSTAND THIS AGREEMENT AND I AM AWARE THAT BY ACCEPTONG THIS DIGITAL AGREEMENT I MAY BE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. BY ACCEPTANCE, THE MEMBER, WARRANTS THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO ALL CONDITIONS OF THIS MEMBERSHIP AGREEMENT.
